Notice Regarding ISS’s Updated Voting Recommendation for Proposals to Be Submitted to the 63rd Annual General Meeting of Shareholders
Tokyo Electron (TEL; Head Office: Minato-ku, Tokyo; President: Toshiki Kawai), hereby announce that we have confirmed that Institutional Shareholder Services Inc. (“ISS”), a proxy advisory firm, updated its proxy voting recommendation report on June 6, 2026. According to the updated report, ISS changed its recommendation on “Proposal No. 2: Approval of the Grant of Rights Related to the Company’s Shares to Officers and Employees of the Company Group Residing in the State of California, Subject to the Application of Special Provisions of the California Securities Act” (the “Proposal”) to be submitted to the 63rd Annual General Meeting of Shareholders scheduled for June 23, 2026, from “AGAINST” to “FOR.”
Please note that we explained our opinion regarding ISS’s previous recommendation against the Proposal in our press release titled “Tokyo Electron’s Opinion on ISS’s Voting Recommendation,” published on June 1, 2026.
We respectfully ask our shareholders to refer to this information as supplemental information when exercising their voting rights with respect to the Proposal.
