Notice regarding the Execution of the Share Exchange Agreement between Tokyo Electron Limited and TEL Japan GK regarding the Business Combination between Tokyo Electron Limited and Applied Materials, Inc.

Pursuant to an approval by a board of directors' meeting of Tokyo Electron held today, Tokyo Electron executed a share exchange agreement with TEL Japan GK, as a process of the Business Combination announced in the September 24, 2013 press release "Applied Materials, Inc. and Tokyo Electron Limited to Combine, Creating a New Global Innovator to Serve the Semiconductor and Display Industries."
