Tokyo Electron Receives Award for Excellence in Corporate Governance

TOKYO, JAPAN -Tokyo Electron (TEL), was today presented an award for Excellence in Corporate Governance (ECG) in Washington D.C., by Institutional Shareholder Services (ISS), the world's largest provider of proxy voting and corporate governance services.

Tokyo Electron was selected for this prestigious award because of its high levels of information disclosure, including the publication of the individual compensation of its directors and its use of the company web site to distribute financial and other information to shareholders in Japanese and in English. The company was also recognized for establishing a compensation committee and a nominating committee within the Board of Directors, which very few Japanese companies have done.

Tetsuro Higashi, C.E.O., President of TEL, said, "We are very grateful to ISS for recognizing the commitment TEL has made to being a progressive company, both in Japan and around the world. This commitment has not only moved us to better reporting about TEL finances, it has also caused us to become the company to make keen efforts in the area of corporate governance."To select the recipients of the award, ISS identified key markets based on client holdings and corporate governance interests. ISS chose five companies that have improved upon their corporate governance standards in a given period of time or have gone above and beyond the standards of their markets. The decision to recognize a corporation's advancement is exclusively made through ISS's experience in researching companies worldwide and in acting as representatives of shareholders. In making the selections, ISS took into account disclosure, transparency, general shareholder treatment, governance structures, and overall effectiveness of governance functions.
